1. Scope and Acceptance

These Terms of Service ("Terms", "Agreement") govern your use of the vale.x Global Trading Platform ("Platform", "Service", "we", "us"). By registering for an account, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

2. Service Description

vale.x Global provides:

• An AI-powered trading analysis platform
• Automated trading signals and execution
• Portfolio tracking and reporting
• Integration with third-party exchanges (Binance, Alpaca)

3. AI Trading Bot Disclaimer

3.1 No Guarantee of Performance

The AI trading bot, including but not limited to the "AI Council", machine learning algorithms, and all automated decision-making systems:

• Does NOT guarantee any profits, returns, or positive outcomes
• May make incorrect predictions, analyses, or trading decisions
• May buy, sell, or hold assets at inopportune times
• May result in partial or complete loss of your invested capital
• Operates based on historical data and algorithms that cannot predict future market movements

3.2 Complete Limitation of Liability for AI Decisions

YOU EXPRESSLY AGREE THAT:

• vale.x Global shall NOT be held liable for any losses, damages, or negative outcomes resulting from trades executed by the AI bot
• All buy orders, sell orders, or decisions NOT to trade made by the automated system are at YOUR sole risk
• We are NOT responsible for any financial losses caused by AI trading decisions, whether due to software errors, incorrect signals, market conditions, or any other reason
• Past performance of the AI system does not guarantee or indicate future results
• The AI may malfunction, produce errors, or make decisions that result in significant financial loss

3.3 User Responsibility

By enabling automated trading, you acknowledge that:

• You have made an informed decision to allow an automated system to trade on your behalf
• You understand the risks of algorithmic and automated trading
• You accept full responsibility for monitoring your account and positions
• You can disable automated trading at any time
• You will not hold vale.x Global responsible for any trading outcomes

3.4 Technical Failures

We are NOT liable for losses caused by:

• System downtime, delays, or interruptions
• Failed order execution or partial fills
• Network issues, API failures, or connectivity problems
• Exchange outages or third-party service disruptions
• Software bugs, glitches, or unexpected behavior
• Data feed errors or delayed market information

4. Account Registration

4.1 Eligibility Requirements

• You must be at least 18 years of age (or legal trading age in your jurisdiction)
• You must provide accurate and truthful information
• You are responsible for maintaining account security
• One account per person only
• You must comply with all applicable laws in your jurisdiction

4.2 API Keys

When you provide your exchange API keys:

• You authorize us to execute trades on your behalf
• You are fully responsible for all activities performed using those keys
• You should only provide keys with minimum necessary permissions
• You can disconnect at any time by removing or regenerating your keys
• We are not responsible for unauthorized access due to your negligence

5. Subscriptions and Payments

5.1 Available Plans

• Scout (Free): Basic features, limited assets, manual trades only
• Vanguard: Extended features, more assets, signal alerts
• Commander: Full autopilot, AI Council access, priority support
• Oracle: All features, unlimited assets, dedicated support

5.2 Payment Terms

• Subscriptions are billed monthly in advance
• Payments are processed via Stripe
• Prices include applicable taxes where required
• Failed payments may result in service suspension

5.3 Cancellation and Refunds

• You may cancel at any time, effective at the end of the current billing period
• No refunds are provided for partial months or unused time
• Upon cancellation, your account will be downgraded to the free plan
• Trading losses are NOT grounds for refund requests

6. Comprehensive Disclaimer

6.1 No Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind. We do NOT warrant or guarantee:

• Profits, returns, or any specific financial outcomes
• Accuracy, reliability, or timeliness of trading signals
• Uninterrupted, error-free, or secure service
• The security or reliability of third-party exchanges
• That the AI will make optimal trading decisions

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, vale.x Global and its officers, directors, employees, and agents shall NOT be liable for:

• Any trading losses whatsoever, including losses from AI-executed trades
• Incorrect, delayed, or failed trading signals
• Technical failures, downtime, or service interruptions
• Actions or inactions of third-party exchanges
• Loss of API keys due to user negligence
• Market volatility, flash crashes, or black swan events
• Regulatory changes affecting trading
• Indirect, incidental, consequential, or punitive damages
• Lost profits, data, or business opportunities

6.3 Maximum Liability Cap

Our total cumulative liability shall not exceed the amount you have paid in subscription fees during the twelve (12) months immediately preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless vale.x Global and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your trading activities and decisions
• Any third-party claims related to your account

8. Acceptable Use

8.1 Permitted Use

You may only use the Platform for lawful purposes in accordance with these Terms.

8.2 Prohibited Activities

• Manipulating the Platform or its signals
• Reverse engineering, decompiling, or disassembling the software
• Unauthorized automated access or scraping
• Sharing your account with third parties
• Using the Service for illegal activities (money laundering, fraud, etc.)
• Attempting to circumvent security measures

9. Intellectual Property

All rights to the Platform, including algorithms, designs, code, and content, remain the exclusive property of vale.x Global. You receive only a limited, non-transferable license to use the Service.

10. Privacy

Your data is processed in accordance with our Privacy Policy.

11. Account Termination

We may suspend or terminate your account for:

• Violation of these Terms
• Suspected fraudulent activity
• Non-payment of fees
• Legal or regulatory requirements
• Any reason at our sole discretion with reasonable notice

12. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days in advance. Continued use after changes take effect constitutes acceptance.

13. Governing Law and Disputes

These Terms shall be governed by the laws of the applicable jurisdiction. Any disputes shall be resolved through binding arbitration, except where prohibited by law.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and vale.x Global regarding the use of the Service and supersede all prior agreements.
